Job Description
 
JOB PURPOSE:
The role of the Legal & Compliance Manager is to bring blend of expertise, advisory and ensure that the overall legal & regulatory compliances of MSFSA are adhered with applicable legislations and specific requirements

3. KEY ACCOUNTABILITIES

Regulatory activities
  1. Initiate, supervise, prepare required documents for the secretarial compliances and organize Board of Directors Meeting (BM), Annual General Meeting (AGM) and Extra-General Meeting (EGM) as per the requirements under law, if any, for all MSF SA Entities.
  2. Manage requirements and secretarial requests of operations related to MSF SA office.
  3. Responsible for respective Audit of secretarial records and prepare Annual Board Report & ensure other compliance requirements for audit conclusion of all MSF SA Entities.
  4. Coordinate, implement and follow up of FCRA compliances and stay up-to-date on any changes to relevant FCRA laws and regulations.
  5. Perform due diligence activities including drafting and arranging of legal setup documents for incorporation any new entity under the legal structure of MSF and for necessary registrations to satisfy all the demands of local & federal laws.
  6. Ensure end-to-end process for New Registrations, entities registration and renewals under applicable laws for MSF SA Office.
  7. Responsible for ensuring efficient system of filing, archiving and retrieval of legal & secretarial records as per statutory requirement; Accountable for maintenance of list of agreements executed for MSF SA office.
  8. Manage execution of Directors’ and Liability Insurance for MSF SA Office.
  9. To perform LO compliance regulated with RBI; Sec 8 compliances regulated by ROC & CLG compliances regulated by ROC, Srilanka.
  10. Prepare & maintain Compliance calendar of all MSF SA Entities and review periodically
  11. Keep update on NGO sector related audit & Compliances
Legal
  1. Draft, finalize and vet contracts, MOUs, LOU, Service Agreements etc. with Suppliers, Service Providers, and External Consultants for MSF SA Office as per applicable laws and in line with GDPR norms.
  2. Execute MoUs with other MSF Operation offices for project implementation etc. & liaise with other focal point(s) for preparing MOUs for internal hosting service agreements.
Advisory
  1. Engage with the Management Team and Departments within the India/Colombo offices being responsive to requests & advisory for legal management advice and support.
  2. Advice to MSF SA Office on basic compliance queries related to Section 8, FCRA & Companies Act, Srilanka.
  3. Research on legal provisions applicable and to keep abreast of recent changes.
Risk & Management
  1. Fully assist and coordinate with external risk management firm in the exercise of developing risk management framework & risk register.
  2. Analyze data and information to prepare & review outputs of the risk and compliance framework and related activities as part of MSF South Asia risk governance cycle.
  3. Review and draft related fraud & risk mitigation policies, operating or working procedures/manuals & contributes to the implementation of Fraud Risk processes, policies, standards and procedures, updation of risk registers in alignment with the MSF SA Risk Framework.
GDPR
  1. Perform assessment activities to ensure GDPR compliances are adhered and identify and document gaps to achieve compliance with the Regulation (GDPR) and translate those to actionable recommendations.
  2. Responsible for GDPR Reporting to MSFI in discussion with Data Protection Team.
  3. Draft new and amend existing internal data protection policies, guidelines, and procedures, in consultation with key stakeholders/departments.
Liaising with internal & external stakeholders
  1. Represent MSF to external agencies including: Banks, Lawyers, Chartered Accountants, Government offices including direct Liaising, other MSF offices, etc.
  2. To liaise regularly & take updates from external Consultant regarding varied applicable compliances of MSF Sri Lankan entity (Guarantee Company) and to ensure the completion of documentation and subsequent filings and keep them accountable.
  3. To coordinate with external consultant on relevant data related to annual filing & ensure submission of audited financials with Registrar of Companies, FCRA Regulations and other government authorities for MSF SA Office.
General Responsibilities
  1. Initiation, review, development and implementation of Compliance Guidelines and processes for the finance function with a strong focus on compliances and controls.
  2. Any other task assigned as may be assigned by HOD.

 
4. KEY DIMENSIONS

Financial dimensions

a) Responsible for all regulatory compliances & legal analysis - ROC, SL-CLG, LO office, GDPR.

b) Responsible for drafting and vetting of all MOU & agreements to be finalized within expected timelines.



Other dimensions
 

a) Interaction with Lawyers & Consultants from time to time seeking clarifications and advisory.

b) Coordination with HQ & other MSF offices as per legal requirement.

6. Other Indicative Requirements
 
Educational Qualifications  & Functional / Technical Skills
Mandatory CS (Company Secretary) with minimum 5-6 years of post-qualification Compliances & legal experience.
CS with a Law degree is an added advantage. Candidates without a CS qualification shall not be considered.
 
Good knowledge of Excel & Microsoft office
Relevant Experience
Executive experience and understanding of organizational issues and team dynamics.
 
Other requirements
  • Good knowledge of Finance & Compliances.
  • High level of integrity and sound judgement.
  • Good knowledge and experience of the Indian context           (financial and legal aspects)
  • Commitment to MSF principles
  • Analytical thinking

  • Contract duration is one year with a possibility of contract period extension.

  • Compensation gross per month range INR 191,448 to INR272,959 (Salary is offered in line with our pay framework and typically starts at the entry point of the band. Salary increases are considered annually; final salary will depend on the scaling of the CV as per MSF criteria)
