ROLE PURPOSE
The Associate Director – Finance and Operations (AD) is a strategic member of the executive leadership team and is responsible for the Company's overall financial strategy, stewardship, performance, governance, and risk management. The AD will provide financial leadership to support profitable growth, capital allocation, operational efficiency, business planning, and long-term value creation.

The role combines strategic finance leadership with oversight of accounting, financial planning and analysis, treasury, taxation, statutory compliance, internal controls, audit, working capital, commercial finance, and financial risk management. The AD will serve as a trusted advisor to the Managing Director/CEO and Board, translating financial and operational data into actionable business intelligence.

KEY RESPONSIBILITIES
1. Strategic Finance & Business Leadership
• Serve as a key member of the senior leadership team, providing financial insight and challenge to strategic and commercial decisions.
• Develop and implement a multi-year finance strategy aligned with business growth, profitability, capital requirements, and shareholder objectives.
• Partner with the MD/CEO and business heads on business strategy, expansion plans, pricing, investment decisions, restructuring, and performance improvement initiatives.
• Establish financial targets, value drivers, KPIs, and performance dashboards and use them to drive accountability across the organisation.
• Evaluate business cases, acquisitions, investments, new products/markets, and major contracts from financial, commercial, tax, and risk perspectives.

2. Financial Management, Accounting & Reporting
• Oversee the complete finance and accounting function, including general ledger, accounts payable, accounts receivable, fixed assets, payroll accounting, provisions, reconciliations, and month-end/year-end closing.
• Ensure accurate, timely, and decision-useful monthly and management financial reporting to the MD/CEO and Board.
• Lead preparation of annual financial statements in accordance with applicable Indian Accounting Standards / Accounting Standards and Companies Act requirements, as applicable.
• Ensure integrity of the ERP/accounting systems, chart of accounts, cost centres, financial master data, and management reporting architecture.
• Establish robust financial controls, accounting policies, delegation of authority, and close processes.

3. FP&A, Budgeting, Forecasting & Performance Management
• Lead the annual operating plan, budgeting, rolling forecast, and long-range financial planning processes.
• Develop scenario analyses, sensitivity analyses, cash-flow forecasts, and profitability models to support management decisions.
• Monitor actual performance against budget, forecast, and business KPIs; identify variances, root causes, and corrective actions.
• Provide commercial finance support for pricing, margins, customer profitability, product economics, cost optimisation, and business unit performance.
• Drive a performance-management culture through clear financial targets and periodic business reviews.

4. Treasury, Cash Flow & Working Capital
• Own the Company's cash-flow strategy, liquidity planning, banking relationships, and treasury operations.
• Optimise working capital through disciplined management of receivables, payables, inventory, advances, and cash conversion cycle.
• Oversee bank facilities, borrowing arrangements, guarantees, letters of credit, investments, and financing requirements, subject to Board approvals.
• Develop cash-flow forecasts and ensure adequate liquidity for operating and strategic requirements.
• Monitor foreign exchange, interest-rate, counterparty, and other financial risks where relevant.

5. Taxation, Statutory Compliance & Corporate Governance
• Oversee direct and indirect tax compliance, including GST, income tax, TDS, transfer pricing, ROC, and other applicable statutory requirements.
• Ensure timely and accurate statutory filings, tax assessments, notices, and regulatory submissions in coordination with tax advisors and internal teams.
• Monitor compliance with the Companies Act, FEMA and other applicable corporate, financial, and regulatory requirements.
• Advise management and the Board on significant tax, regulatory, and governance matters and ensure appropriate documentation and approvals.
• Maintain a strong compliance culture and proactively identify emerging regulatory risks.

6. Audit, Internal Controls & Risk Management
• Lead coordination of statutory, internal, tax, and other relevant audits and ensure timely closure of audit observations.
• Strengthen the Company's internal control framework, including financial controls, segregation of duties, approval matrices, and fraud-prevention mechanisms.
• Establish and maintain an enterprise financial risk-management framework covering financial, operational, compliance, and commercial risks.
• Ensure robust control over financial reporting and maintain audit-ready documentation.
• Provide the Board/Audit Committee with transparent reporting on key financial risks, control deficiencies, and remediation plans.

7. Commercial Finance & Cost Optimisation
• Partner with commercial and operational teams to improve revenue quality, gross margins, EBITDA, cost efficiency, and return on capital.
• Review major customer/vendor contracts, pricing arrangements, commercial terms, and financial commitments.
• Identify cost-saving and productivity opportunities without compromising business growth or service quality.
• Develop profitability analysis by product, customer, geography, channel, project, or business unit, as relevant.
• Support negotiations with customers, suppliers, lenders, investors, and other stakeholders from a financial and commercial perspective.

8. Procurement, Vendor & Contract Financial Oversight
• Provide financial governance over procurement and major vendor engagements, ensuring value for money, appropriate approvals, and commercial discipline.
• Oversee financial due diligence and risk assessment for significant suppliers and contracts.
• Establish appropriate controls over purchase commitments, vendor payments, advances, and contract renewals.
• Monitor procurement spend and vendor concentration risks and promote cost-effective sourcing strategies.

9. Technology, Systems & Finance Transformation
• Lead the finance transformation agenda, including ERP optimisation, automation, management dashboards, and digital finance processes.
• Ensure finance systems provide reliable, timely, and integrated data for management decision-making.
• Drive process standardisation, automation, analytics, and continuous improvement across the finance function.
• Evaluate and implement appropriate financial technology solutions in line with business needs and control requirements.

10. People Leadership & Team Development
• Lead, mentor, and develop a high-performing finance organisation with clear roles, KPIs, accountability, and succession plans.
• Build strong technical and business partnering capabilities within the finance team.
• Promote a culture of integrity, ownership, commercial thinking, continuous improvement, and service excellence.
• Ensure appropriate talent, structure, policies, and professional development to support the Company's growth.

11. Board, Investor & Stakeholder Management
• Prepare and present financial performance, forecasts, cash-flow, risk, and strategic finance matters to the Board and relevant committees.
• Act as a key financial interface with shareholders, investors, lenders, auditors, tax advisors, regulators, insurers, and other external stakeholders.
• Support fundraising, debt financing, investor discussions, due diligence, and other strategic transactions, where applicable.
• Ensure transparent, timely, and credible financial communication to internal and external stakeholders.

QUALIFICATIONS & EXPERIENCE
• Qualified Chartered Accountant (CA); CPA, CFA, or equivalent qualification is an asset.
• Minimum 15 years of progressive finance experience, including significant experience in a senior finance leadership / AD / Finance Director role in a private-sector, commercial, or for-profit environment.
• Strong experience in financial strategy, FP&A, accounting, taxation, treasury, working capital, internal controls, audit, and business performance management.
• Demonstrated experience partnering with CEOs, business heads, and Boards on strategic and commercial decisions.
• Proven track record of improving profitability, cash generation, cost efficiency, controls, and financial discipline.
• Experience with ERP systems and advanced financial reporting, analytics, and business intelligence tools.
• Experience in managing banking relationships, debt/equity financing, due diligence, or corporate transactions is desirable.
• Strong knowledge of Indian corporate, taxation, Companies Act, GST, FEMA, and other applicable regulatory requirements.
